Terms of Service — Skildo Partner

Read these Terms of Service carefully before creating an account. They form a binding agreement between you and Invicta Solutions, s.r.o. By creating an account or using the Platform, you confirm that you have read, understood, and agreed to them. If you do not agree, do not use the Platform.
1. Definitions
- “Platform” — the Skildo Partner web platform (
partner.skildo.cz), which lets tradespeople and side hustlers see customer job requests and submit offers. - “Skildo” — the related customer mobile application.
- “Account” — the user account you create on the Platform.
- “Partner”, “you” — the natural or legal person using the Platform to offer services. For legal persons, the natural person acting on their behalf is also bound by these Terms.
- “Customer” — a Skildo app user posting job requests.
- “Job request” — a job published by a Customer.
- “Offer” — your reply with price and timing.
- “KYC” — identity verification under Act No. 253/2008 Coll. (AML).
- “Subscription” — paid access to advanced Platform features.
- “Civil Code” — Act No. 89/2012 Coll.
- “Trade Licensing Act” — Act No. 455/1991 Coll.
2. Nature of the service
- Skildo Partner is a discovery and communication platform that connects you with Customers. Skildo is not a party to the contract between you and the Customer for the work.
- Skildo does not collect, hold, or process payments between you and Customers. Pricing, timing, payment, invoicing, warranty, and complaint handling are settled directly between you and the Customer.
- Skildo is not your party in dealings with trade-licensing, tax or social-security authorities — taxes, mandatory contributions, and trade licences are your responsibility.
- Skildo reserves the right to offer additional features in the future (e.g. payment intermediation, insurance, e-invoicing); they will be governed by separate terms.
3. Eligibility and age
- Minimum age: 18. You may only create an Account if you are at least 18 years old.
- You must have full legal capacity under the Civil Code.
- If you offer activities that require a trade licence, professional qualification or other authorisation, you must hold it and produce it on request.
- If you provide false information at identity verification, fail the age requirement, or use someone else’s documents, we may terminate the Account immediately and report the matter to authorities.
4. Conclusion of contract; consumer information
- The contract is concluded electronically when you complete registration, identity verification, and sign in for the first time.
- The contract is concluded in Czech; an English version may be provided informatively.
- For Partners acting as consumers (i.e. natural persons acting outside their business activity), pre-contract information under Czech law (§§ 1811, 1820 and 1826 of the Civil Code) applies.
- If you use the Platform in the course of business (sole proprietor / OSVČ, legal entity, side hustler with sustained activity), you enter into this contract as a business; consumer-protection rules then do not apply.
- Pre-contract information for consumers:
- Identification of the Provider: in the heading.
- Main features: in Sections 2 and 6.
- Price: during the pilot phase the Platform is free. Planned plans are described in Section 7 (one-off Lifetime 500 CZK or 299 CZK monthly after the paid version launches).
- Term: indefinite, until terminated under Section 14.
- Right of withdrawal from a one-off subscription: A consumer may withdraw from a subscription contract within 14 days of purchase under § 1829 of the Civil Code, unless they expressly requested provision to begin before the period expires and acknowledged that the right of withdrawal lapses on full performance. Send withdrawal notice to info@skildo.cz.
- Complaints: send to info@skildo.cz; we acknowledge without undue delay and respond within 30 days.
- Out-of-court dispute resolution: Czech Trade Inspection Authority, Štěpánská 796/44, 110 00 Praha 1, www.coi.cz. EU ODR platform: https://ec.europa.eu/consumers/odr.
5. Registration, identity verification and profile
- Registration. Sign up with email and password, or via OAuth (Supabase Auth).
- Identity verification (KYC). Full profile activation requires verification — photo of an ID or passport, selfie, date of birth, address, and IČO if you are a sole proprietor. Verification is performed by a KYC processor. Without successful verification, you cannot accept jobs.
- Accuracy. You must provide accurate information and keep it up to date.
- Profile. You build a public profile with photo, short bio, work categories, and service area. The profile is visible to Customers.
- Security. You are responsible for the security of your device and credentials. Report any suspected unauthorised access without delay.
6. Jobs, offers and communication
- Browsing jobs. You see job requests within your service area. Customer addresses are approximate until the job is mutually confirmed.
- Offer. You send the Customer a price, timing, and a short message. The price is binding — if the Customer accepts, you must honour it unless you agree on a change in the chat.
- Communication. Once a job is mutually confirmed, the Customer’s phone and email are revealed to you.
- Professional conduct. Be polite, punctual, and professional with Customers. Racist, sexist, vulgar or harassing behaviour will not be tolerated.
7. Subscription and fees
- Currently free. During the pilot phase (until 30 June 2026) the Platform is provided free of charge.
- Planned plans after the pilot:
- Free: full access during the pilot.
- Lifetime: one-off subscription 500 CZK with lifetime access to all current and future features (limited promo during the pilot).
- Monthly: 299 CZK per month from 1 July 2026.
- Payments. Payments are processed via RevenueCat and the app store / Play store; card numbers are handled by Apple / Google / Stripe — we do not store them.
- No commission. We do not take a commission from the payments between you and the Customer.
- Taxes. The Platform issues an invoice for the subscription. Tax obligations (VAT, income tax, social and health insurance) on income from Customers are exclusively yours.
- Withdrawal (consumer). See Section 4.5.
- Price changes. Changes to subscription prices are announced at least 30 days in advance.
8. Relationship with Customers; liability
- The contract for the work is between you and the Customer. Skildo is not a party.
- Pricing, timing, invoicing, warranty, complaints and liability for defects are governed by the Civil Code, the Consumer Protection Act (where the Customer is a consumer), and other relevant legislation.
- If the Customer complains about a defect in your work, handle it in good faith. Skildo reserves the right to step in (in particular by restricting or terminating the profile) in cases of repeated valid complaints, serious misconduct or breach of these Terms.
- Insurance. We recommend taking out professional-liability insurance. Skildo has no obligation to provide such insurance.
9. Reviews and ratings
- Only a Customer with a completed job can leave a review of you.
- Reviews must be truthful. Insults, vulgarity, threats, false factual claims, and content infringing third-party rights are prohibited.
- We may hide or remove reviews violating these Terms or the law, or where required by a binding decision of an authority.
- Once you delete your profile, your published reviews are anonymised.
10. Push notifications
- The Platform may notify you by push about new job requests, customer messages and subscription status.
- Notifications can be turned off in the Platform and in your browser settings. Some functional notifications may be inherent to the service.
11. Acceptable use
You undertake not to:
- use the Platform in violation of law or third-party rights;
- offer work that is unlawful, endangers the public interest, or for which you lack authorisation (trade licence, professional qualification, permit);
- impersonate other persons, use someone else’s documents at identity verification, or upload fake photos;
- harass, stalk, threaten, defraud, “call-bait” (use unrealistic pricing to obtain contact and then raise the price), or otherwise harm Customers;
- divert Customers off-Platform with intent to circumvent its rules, ratings or paid features;
- scrape data, use bots or automated tools without our written consent;
- circumvent security, rate limits, authentication, or paid features;
- reverse-engineer or decompile the Platform except where allowed by mandatory law;
- discriminate based on age, sex, ethnicity, sexual orientation, health, religion or political beliefs;
- expose Customers to off-the-books work that puts them at financial or legal risk.
For breaches we may warn, restrict your Account, lower profile visibility, remove content, terminate the Account, or cooperate with law-enforcement.
12. Intellectual property
- The Platform, source code, design, branding, Skildo and Skildo Partner trademarks, logo and other IP belong to the Provider or its licensors.
- We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Platform for the purpose of offering your services.
- You retain rights to content you upload (photo, bio, sample work) but grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, display, and technically process the content as necessary to operate the service; sublicensing for marketing use (e.g. testimonial in advertising) requires a separate consent.
13. Changes, availability
- Service changes. We may add, modify or remove features at any time.
- No SLA. The Platform is provided “as is” and “as available”.
- Changes to Terms. Material changes are announced at least 15 days in advance (subscription price changes at least 30 days). Continued use after the effective date constitutes acceptance.
14. Termination
- Termination by you. You can terminate the Account at any time via the profile menu or by email.
- Termination by us. We may restrict or terminate the Account in case of material breach of these Terms, failed identity verification, repeated valid complaints from Customers, on a binding decision of an authority, or after 24 months of inactivity.
- Consequences. Termination ends the licence under Section 12.2; data is processed under the Privacy Policy (KYC and invoicing records are archived as required by law).
- No refund of paid Lifetime subscription (other than the statutory right of withdrawal in Section 4.5) where the Account is terminated by you or for material breach of these Terms by you.
15. Disclaimer of warranties; limitation of liability
- Consumers. Nothing in these Terms excludes liability where mandatory law does not allow it (intent, gross negligence, infringement of personality rights).
- To the maximum extent permitted by law, the Platform is provided “as is” without express or implied warranties.
- Skildo does not warrant: the conduct of Customers, the availability of enough job requests in your area, the accuracy of information posted by Customers, or that Customers will not cancel a job.
- Cap on liability. Subject to the foregoing, the Provider’s aggregate liability over any 12-month period is capped at the higher of (a) the total subscription amounts you paid the Provider in the past 12 months, or (b) CZK 2,500.
- The Provider is not liable for indirect, incidental, consequential, exemplary or punitive damages, lost profits, lost goodwill or lost data, except where mandatory law dictates otherwise.
16. Indemnification
To the maximum extent permitted by law, you will indemnify and hold harmless the Provider and its affiliates from damages and costs (including reasonable legal fees) arising from: (a) your use of the Platform in breach of these Terms or the law, (b) your content and offers, (c) breach of tax, trade-licensing or labour-law obligations, (d) infringement of third-party rights.
17. Force majeure
The Provider is not liable for delay or failure caused by events outside reasonable control (natural events, war, epidemics, outages of telecommunications networks, cloud platforms or third-party services).
18. Third-party services
The Platform relies on third-party services including Supabase, Mapbox, Sentry, PostHog, RevenueCat, OAuth providers, and a KYC provider. Each is governed by its own terms.
19. Governing law and disputes
- These Terms are governed by the law of the Czech Republic, excluding conflict-of-laws rules and the CISG.
- Consumers habitually resident in the EU keep the protection of mandatory rules of their habitual-residence state (Art. 6 Rome I).
- Non-consumers — disputes are decided by Czech courts at the Provider’s seat.
- Out-of-court — see Section 4.5 (CTIA and ODR).
20. Reporting illegal content (DSA)
Under Article 16 of Regulation (EU) 2022/2065 you can report illegal content to info@skildo.cz with subject “DSA notice” and include:
- a description of the alleged illegality and the reason;
- clear identification of where the content is (profile ID, screenshot);
- your name and email (except for reports under Directive 2011/93/EU, where anonymous reporting is allowed);
- a good-faith statement.
21. Final provisions
- Entire agreement. These Terms and the Privacy Policy are the entire agreement.
- Severability. Invalidity of part does not affect the rest.
- No waiver. Failure to enforce a right is not a waiver of it.
- Assignment. You may not assign without our consent; we may assign in connection with a corporate transaction.
- Notices. Send to info@skildo.cz or registered mail to the seat. We send notices in the Platform or to the email associated with your Account.
By creating or continuing to use an Account, you acknowledge that you have read these Terms and the Privacy Policy and accept them.
