Terms of Service

Read these Terms of Service carefully before creating an account. They form a binding agreement between you and Invicta Solutions, s.r.o. By creating an account or using the App, you confirm that you have read, understood, and agreed to them. If you do not agree, do not use the App.
1. Definitions
- “App” — the Skildo customer mobile application published for iOS and Android, including the skildo.cz website and backend infrastructure.
- “Skildo Partner” — the separate web platform for tradespeople and side hustlers.
- “Account” — the user account you create in the App.
- “Customer”, “you” — the natural person using the App to post a job and hire a tradesperson.
- “Tradesperson” — a Skildo Partner user who can see your job request.
- “Job request” — the description (text, photos, location, budget) you publish.
- “Offer” — a tradesperson’s reply with price and timing.
- “GDPR” — Regulation (EU) 2016/679.
- “Civil Code” — Act No. 89/2012 Coll.
- “Consumer Protection Act” — Act No. 634/1992 Coll.
2. Nature of the service
- Skildo is a discovery platform that connects customers with tradespeople and lets them get in touch. Skildo is not a party to the contract between you and the tradesperson.
- Skildo does not collect, hold, or process payments between you and the tradesperson. Pricing, timing, payment, invoicing, warranty, and dispute resolution are handled directly between you and the tradesperson.
- Skildo does not warrant the quality, safety or lawfulness of the work a tradesperson performs.
- Skildo is not an electronic-communications service within the meaning of Act No. 127/2005 Coll.
- The App does not provide emergency calling. In an emergency call 112 or your relevant national emergency number.
3. Eligibility and age
- Minimum age: 18. You may only create an Account if you are at least 18 years old.
- You must have full legal capacity under the Civil Code (or equivalent law of your residence).
- If we have reasonable suspicion that an Account is operated by a minor, we may restrict or terminate it and delete the data.
- The App is not directed at children under 18. Detail is in the Privacy Policy and Child Safety Standards.
4. Conclusion of contract; consumer information
- The contract is concluded electronically when you complete onboarding and sign in for the first time.
- The contract is concluded in Czech; an English version may be provided informatively.
- Pre-contract information under Czech law (§§ 1811, 1820 and 1826 of the Civil Code, §§ 9–11 of the Consumer Protection Act, and Regulation (EU) 2022/2065):
- Identification of the Provider: in the heading.
- Main features: in Sections 2 and 5.
- Price: the App is free of charge for customers. Mobile data, calls and SMS billed by third parties are not included.
- Term: indefinite, until terminated under Section 13.
- Right of withdrawal: the App is a digital service supplied free of charge. You may delete the Account at any time.
- Complaints: send to info@skildo.cz; we acknowledge without undue delay and respond within 30 days.
- Out-of-court dispute resolution: Czech Trade Inspection Authority, Štěpánská 796/44, 110 00 Praha 1, www.coi.cz. EU ODR platform: https://ec.europa.eu/consumers/odr.
5. Registration, sign-in and profile
- Sign-in. You can register by email or via Google, Apple or Facebook (Supabase Auth). Your phone number is used to make contact with the tradesperson easier and is only revealed to the confirmed tradesperson once a job is mutually confirmed.
- Accuracy. You must provide accurate information and keep it up to date.
- Security. You are responsible for the security of your device and credentials. Report any suspected unauthorised access without delay.
6. Job requests and communication
- Posting. When posting a job, you describe the work, can upload photos and may use the AI description suggestion. The final wording is yours.
- Location. To show your job to nearby tradespeople, you can permit location access or enter an address manually. The exact address is not public — tradespeople only see an approximate area until the job is mutually confirmed.
- Your contact details. Phone number and email are revealed to a specific tradesperson only after mutual confirmation of the job.
- Offers. A tradesperson sends you a price and timing. Accept only after reviewing the profile, reviews, and any chat clarifications.
- AI suggestion. The AI description is just a hint. You are responsible for the final text.
7. Relationship with the tradesperson; liability
- The contract for the work is between you and the tradesperson. Skildo is not a party.
- Pricing, timing, invoicing, warranty, complaints, and liability for defects are governed by Czech civil law (Civil Code, Consumer Protection Act if applicable) or the equivalent law of your residence.
- If the tradesperson is a business and you are a consumer, mandatory consumer-protection rules apply.
- Skildo does not guarantee that enough tradespeople will respond, or that their pricing will be acceptable to you.
- If a dispute arises between you and the tradesperson, contact us at info@skildo.cz — we will help mediate, and we take action against repeat offenders (typically restricting or terminating their Account).
8. Reviews and ratings
- Only a customer with a completed job can leave a review.
- Reviews must be truthful and on-topic. Insults, vulgarity, threats, false factual claims, and content infringing third-party rights are prohibited.
- We may hide or remove reviews that violate these Terms or the law, or where required by a binding decision of an authority.
- After you delete your Account, your published review is anonymised — only an initial and the job category remain.
9. Push notifications
- The App may send push notifications about new offers, messages, and job-status changes.
- Notifications can be turned off in the App and in your OS. Some functional notifications may be inherent to the service.
10. Fees and third parties
- The App is free for customers.
- You are responsible for any third-party costs (mobile data, SMS, calls, roaming, app-store charges).
- Skildo is not a party to your relationship with your mobile carrier, ISP or app store.
11. Acceptable use
You undertake not to:
- use the App in violation of law or third-party rights;
- post jobs that are unlawful, dangerous or environmentally harmful;
- upload photos of minors without parental/guardian consent, intimate photos, or photos of third parties without their knowledge;
- harass, stalk, threaten, defraud, or impersonate other persons;
- use the App for spam, phishing, malware, or to put unreasonable load on the infrastructure;
- scrape data of other users, use bots or automated tools without our written consent;
- circumvent security, rate limits, authentication, or paid features;
- reverse-engineer or decompile the App except where allowed by mandatory law;
- arrange off-the-books work that would expose you or the tradesperson to tax, employment or trade-licence risk.
For breaches we may warn, restrict, remove content, terminate the Account, or cooperate with law-enforcement.
12. Intellectual property
- The App, source code, design, branding, Skildo trademarks and other IP belong to the Provider or its licensors.
- We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App on your devices for personal, non-commercial use.
- You retain rights to content you upload (photos, descriptions, reviews) but grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, display, and technically process the content as necessary to operate the service.
13. Changes, availability, termination
- Service changes. We may add, modify or remove features at any time.
- OTA updates. The App uses Expo Application Services for OTA updates.
- No SLA. The App is provided “as is” and “as available” with no uptime, latency or performance commitments.
- Changes to Terms. Material changes will be announced at least 15 days in advance. Continued use after the effective date constitutes acceptance.
- Termination by you. You can delete your Account anytime (Settings → Account → Delete account) or uninstall the App.
- Termination by us. We may restrict or terminate your Account in case of material breach of these Terms, on a binding decision of an authority, after 24 months of inactivity, or at end-of-life of the service.
- No refunds. Because the service is free, no refund or compensation arises on termination, without prejudice to consumer statutory rights.
14. Disclaimer of warranties; limitation of liability
- Consumers. Nothing in these Terms excludes liability where mandatory law does not allow it (intent, gross negligence, infringement of personality rights).
- To the maximum extent permitted by law, the App is provided “as is” without express or implied warranties.
- Skildo is not liable for: the conduct of tradespeople, the quality of the work performed, missed deadlines, accuracy of offers, or the availability of any specific tradesperson.
- Cap on liability. Subject to the foregoing, the Provider’s aggregate liability over any 12-month period is capped at the higher of (a) amounts you paid the Provider in the past 12 months, or (b) CZK 2,500.
- The Provider is not liable for indirect, incidental, consequential, exemplary or punitive damages, lost profits, lost goodwill or lost data, except where mandatory law dictates otherwise.
15. Indemnification
To the maximum extent permitted by law, you will indemnify and hold harmless the Provider and its affiliates from damages and costs (including reasonable legal fees) arising from: (a) your use of the App in breach of these Terms or the law, (b) your content, (c) infringement of third-party rights.
16. Force majeure
The Provider is not liable for delay or failure caused by events outside reasonable control (natural events, war, epidemics, outages of telecommunications networks, cloud platforms or third-party services).
17. Third-party services and app stores
- The App is distributed via Apple App Store and Google Play. Use is also governed by their terms.
- The App relies on third-party services including Supabase, Expo, Sentry, PostHog, RevenueCat, OAuth providers (Google, Apple, Facebook), an AI provider (OpenAI or comparable), and Mapbox / Google Maps. Each is governed by its own terms.
18. Governing law and disputes
- These Terms are governed by the law of the Czech Republic, excluding conflict-of-laws rules and the CISG.
- Consumers habitually resident in the EU keep the protection of mandatory rules of their habitual-residence state (Art. 6 Rome I).
- Non-consumers — disputes are decided by Czech courts at the Provider’s seat.
- Out-of-court — see Section 4.3 (CTIA and ODR).
19. Reporting illegal content (DSA)
Under Article 16 of Regulation (EU) 2022/2065 you can report illegal content to info@skildo.cz with subject “DSA notice” and include:
- a description of the alleged illegality and the reason;
- clear identification of where the content is (job ID, screenshot);
- your name and email (except for reports under Directive 2011/93/EU, where anonymous reporting is allowed);
- a good-faith statement.
20. Final provisions
- Entire agreement. These Terms and the Privacy Policy are the entire agreement.
- Severability. Invalidity of part does not affect the rest.
- No waiver. Failure to enforce a right is not a waiver of it.
- Assignment. You may not assign without our consent; we may assign in connection with a corporate transaction.
- Notices. Send to info@skildo.cz or registered mail to the seat. We send notices in the App or to the email associated with your Account.
By creating or continuing to use an Account, you acknowledge that you have read these Terms and the Privacy Policy and accept them.
